Terms of use for JelllyBill

1. Scope
These Terms and Conditions apply to the use of JelllyBill (Chrome Extension and associated web dashboard), provided by Roman Solodkov, Einzelunternehmen(the "Provider"), and all related services.
Deviating terms of the user shall not be recognised unless the Provider expressly agrees to their validity in writing.
2. Subject matter
JelllyBill is an invoice tool for Cardmarket sellers. The software reads order data from Cardmarket pages and enables the creation, management, and export of professional PDF invoices.
The specific scope of features depends on the plan booked. The Provider may develop, extend, or adjust features provided the core purpose of the software is not materially impaired.
3. Registration and contract
Registration is required to use the service. The user must provide accurate and complete information during registration and keep it up to date.
A usage contract is formed upon registration and confirmation by the Provider. Paid plans become effective upon completion of payment (e.g. via Stripe).
4. Usage rights
The Provider grants the user a simple, non-transferable, non-sublicensable right of use for the duration of the contract, limited to the agreed plan and intended use.
All rights in and to the software, source code, functions, designs, content, trademarks, signs, data structures, and all other components remain exclusively with the Provider. No ownership, copyright, or other intellectual property rights are transferred to the user.
In particular, sharing login credentials, circumventing technical protection measures, copying, publishing, distributing, renting, reselling, reverse engineering, or any use beyond the expressly intended contractual use is prohibited.
5. Pricing, billing, and quota
Current prices and feature scopes are listed on the website at the time of booking. Unless stated otherwise, billing is monthly in advance.
Each plan includes a monthly revenue quota based on invoice amounts in the current calendar month. If the quota is exceeded, further document creation may be restricted (e.g. with a visible preview watermark) until the quota resets or the plan is upgraded.
6. User obligations
The user is solely responsible for the accuracy, completeness, and legality of invoices created and underlying business data.
JelllyBill assists with invoice creation but does not replace tax or legal advice. The user remains responsible for compliance with applicable tax and commercial regulations.
7. Availability
The Provider strives for high availability. Maintenance, technical disruptions, or dependencies on third-party platforms (e.g. Cardmarket, browser APIs, payment providers) may cause temporary limitations.
There is no entitlement to uninterrupted availability unless expressly agreed otherwise.
8. Liability
The Provider is fully liable for intent and gross negligence and for damage resulting from injury to life, body, or health.
For slight negligence in breach of essential contractual obligations, liability is limited to foreseeable, typical contract damage. Otherwise, liability is excluded to the extent permitted by law.
The Provider is liable for data loss only if the user has taken reasonable backup measures.
9. Term and cancellation
Free plans may be terminated at any time without notice. Paid subscriptions renew automatically for each billing period unless cancelled in time.
The user may cancel at any time effective at the end of the current billing period. After termination, access reverts to the free plan unless otherwise agreed.
10. Privacy
Information on the processing of personal data is available in our privacy policy. By using the software, you agree to processing under the applicable privacy terms.
11. Changes to these terms
The Provider may amend these terms for the future where there is good cause (e.g. legal changes, feature extensions). Users will be notified of material changes in text form.
12. Final provisions
German law applies, excluding the UN Convention on Contracts for the International Sale of Goods. Place of jurisdiction is, where permitted by law, the Provider's registered office.
If individual provisions are invalid, the validity of the remaining provisions is unaffected.
